1. Introduction and Acceptance of Terms

Welcome to G-ADU IT Consult ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our services, including but not limited to CCTV security installation, web development, Tally training, online advertising, POS software solutions, networking installation, Starlink installation, IT consultation, general IT training, and full-stack server management.

By accessing our website, engaging our services, or entering into a service agreement with G-ADU IT Consult, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you (the "Client" or "you") and G-ADU IT Consult, located at P.O. Box 1754, Adum, Kumasi, Ghana.

2. Services Description

G-ADU IT Consult provides a comprehensive range of professional IT services to businesses and individuals in Kumasi, Ghana, and surrounding areas. Our services include:

  • CCTV Security Installation: Design, installation, configuration, and maintenance of surveillance systems
  • Web Development: Custom website design, development, hosting, and maintenance services
  • Tally Training: Professional training programs for Tally accounting software
  • Online Advertising: Digital marketing, SEO, social media management, and online advertising campaigns
  • POS Software Solutions: Point-of-sale system installation, configuration, and support
  • Networking Installation: Network infrastructure design, installation, and configuration
  • Starlink Installation: Satellite internet installation and setup services
  • IT Consultation: Strategic IT planning, system audits, and technology advisory services
  • General IT Training: Computer skills training and IT literacy programs
  • Full-Stack Server Management: Server setup, maintenance, security, and monitoring services

Service specifications, deliverables, timelines, and pricing will be detailed in individual service agreements or quotations provided to clients.

3. User Responsibilities and Acceptable Use

As a client of G-ADU IT Consult, you agree to:

  • Provide accurate, complete, and current information as required for service delivery
  • Cooperate with our team and provide timely access to necessary facilities, systems, and information
  • Use our services only for lawful purposes and in compliance with all applicable laws and regulations in Ghana
  • Not use our services to transmit, distribute, or store material that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Maintain the confidentiality of any login credentials, passwords, or access codes provided to you
  • Not attempt to gain unauthorized access to our systems, networks, or other clients' data
  • Not interfere with or disrupt the integrity or performance of our services or systems
  • Respect intellectual property rights and not use our services to infringe upon the rights of others

We reserve the right to suspend or terminate services to any client who violates these acceptable use provisions or engages in conduct that we deem inappropriate or harmful to our business or other clients.

4. Payment Terms and Pricing

4.1 Pricing: Service fees and pricing are provided in individual quotations or service agreements. All prices are quoted in Ghana Cedis (GHS) unless otherwise specified. Prices are subject to change, but any changes will not affect services already contracted.

4.2 Payment Schedule: Payment terms will be specified in your service agreement. Typical payment structures include:

  • Upfront payment for smaller projects or one-time services
  • Deposit (typically 50%) before project commencement, with balance due upon completion
  • Milestone-based payments for larger projects
  • Monthly or annual subscriptions for ongoing services (hosting, maintenance, support)

4.3 Late Payments: Invoices are due within the timeframe specified (typically 7-14 days from invoice date). Late payments may incur a late fee of 5% per month or the maximum allowed by law. We reserve the right to suspend services for accounts with overdue balances.

4.4 Refunds: Refund policies vary by service type and will be outlined in your service agreement. Generally, deposits are non-refundable once work has commenced. For subscription services, refunds are prorated based on unused service time, subject to a minimum notice period.

4.5 Additional Costs: Clients are responsible for any third-party costs (domain registration, hosting fees, software licenses, hardware purchases) unless otherwise agreed in writing.

5. Intellectual Property Rights

5.1 Client Content: You retain all ownership rights to content, data, and materials you provide to us ("Client Content"). By providing Client Content, you grant us a limited license to use, reproduce, and modify such content solely for the purpose of delivering the contracted services.

5.2 Deliverables: Upon full payment, you will own the final deliverables created specifically for you (websites, custom software, training materials, etc.). However, we retain ownership of:

  • Pre-existing materials, tools, frameworks, and code libraries used in service delivery
  • General methodologies, processes, and know-how developed independently
  • Any modifications or improvements to our proprietary tools and systems

5.3 Third-Party Materials: Some deliverables may incorporate third-party software, plugins, themes, or components subject to their own licenses. You are responsible for complying with such third-party licenses.

5.4 Portfolio Rights: Unless otherwise agreed in writing, we reserve the right to display completed projects in our portfolio, marketing materials, and case studies, with appropriate credit and without disclosing confidential information.

5.5 Trademarks: All trademarks, service marks, logos, and brand names associated with G-ADU IT Consult are our exclusive property. You may not use our trademarks without prior written permission.

6. Limitation of Liability

To the maximum extent permitted by applicable law in Ghana:

6.1 Indirect Damages: G-ADU IT Consult shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of (or inability to access or use) our services
  • Any conduct or content of any third party related to our services
  • Unauthorized access, use, or alteration of your transmissions or content
  • System failures, security breaches, or technical malfunctions beyond our reasonable control

6.2 Liability Cap: Our total liability to you for any claims arising from or related to our services shall not exceed the total amount paid by you to G-ADU IT Consult for the specific service giving rise to the claim during the twelve (12) months preceding the claim.

6.3 Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

6.4 Client Responsibility: You acknowledge that you are responsible for maintaining appropriate backups of your data and systems. We are not responsible for data loss resulting from your failure to maintain adequate backups.

7. Warranty Disclaimers

7.1 Service Warranty: We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. For a period of 30 days following service delivery (or as specified in your service agreement), we will correct any defects or errors in our work at no additional charge.

7.2 Disclaimer of Other Warranties: Except as expressly stated in these Terms or your service agreement, our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties regarding the accuracy, reliability, or completeness of content or services
  • Warranties that services will be uninterrupted, timely, secure, or error-free
  • Warranties regarding the results that may be obtained from the use of services

7.3 Third-Party Products: We make no warranties regarding third-party hardware, software, or services that we may recommend, install, or integrate as part of our services. Such products are subject to their manufacturers' or providers' warranties.

7.4 Security: While we implement reasonable security measures, we cannot guarantee that our services or systems will be completely secure or free from viruses, malware, or other harmful components. You are responsible for implementing your own security measures.

7.5 Training Services: For training services, we warrant that instruction will be provided by qualified instructors. However, we do not guarantee specific learning outcomes or certification results, as these depend on individual effort and aptitude.

8. Termination of Services

8.1 Termination by Client: You may terminate ongoing services by providing written notice as specified in your service agreement (typically 30 days for subscription services). You remain responsible for payment of all fees accrued up to the termination date.

8.2 Termination by G-ADU IT Consult: We may terminate or suspend services immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms or your service agreement
  • Non-payment of fees when due
  • Fraudulent, abusive, or illegal activity
  • Conduct that damages or may damage our reputation or business

8.3 Effect of Termination: Upon termination:

  • Your right to access and use our services will immediately cease
  • We will provide you with final deliverables for which you have paid in full
  • You must pay all outstanding fees and charges
  • We may delete or archive your data after a reasonable transition period (typically 30 days)

8.4 Survival: Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, payment obligations, limitation of liability, and dispute resolution provisions.

9. Governing Law and Dispute Resolution

9.1 Governing Law: These Terms and any disputes arising from or relating to our services shall be governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law provisions.

9.2 Jurisdiction: You agree that any legal action or proceeding arising from or relating to these Terms or our services shall be brought exclusively in the courts located in Kumasi, Ashanti Region, Ghana, and you consent to the personal jurisdiction of such courts.

9.3 Dispute Resolution: In the event of any dispute, controversy, or claim arising from or relating to these Terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations. If negotiations fail, the parties may pursue mediation before resorting to litigation.

9.4 Limitation Period: Any claim or cause of action arising from or related to our services must be filed within one (1) year after the claim or cause of action arose, or such claim shall be permanently barred.

9.5 Class Action Waiver: To the extent permitted by law, all disputes must be brought in the parties' individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

10. General Provisions

10.1 Entire Agreement: These Terms, together with any service agreements, quotations, or other documents incorporated by reference, constitute the entire agreement between you and G-ADU IT Consult regarding our services and supersede all prior agreements and understandings.

10.2 Amendments: We reserve the right to modify these Terms at any time. We will notify clients of material changes via email or website notice. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

10.3 Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

10.4 Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

10.5 Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

10.6 Notices: All notices under these Terms shall be in writing and delivered via email to the addresses provided or via registered mail to our physical address.

10.7 Language: These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version shall prevail.

Acknowledgment

By using our services, you acknowledge that you have read these Terms of Service, understand them, and agree to be bound by them. If you do not agree to these Terms, you must not use our services. These Terms represent a legally binding agreement between you and G-ADU IT Consult.
